TERMS & CONDITIONS

1. Definitions

“Company” refers to Fojay Limited.

“Customer” refers to any individual, business, organization, or entity purchasing products or services from Fojay Limited.

“Products” refers to solar panels, batteries, inverters, renewable energy equipment, accessories, and related items supplied by the Company.

“Services” refers to installation, consultation, technical support, maintenance, inspections, and other professional services provided by the Company.


2. Quotations

All quotations issued by Fojay Limited remain valid for a period of thirty (30) days from the date of issue unless otherwise stated.

Quotations are based on information available at the time of preparation and may be subject to revision if project specifications, product requirements, site conditions, or market prices change.

The Company reserves the right to withdraw or amend quotations prior to formal acceptance.


3. Orders and Acceptance

An order shall be deemed accepted only upon written confirmation by the Company.

The Company reserves the right to refuse or cancel any order where products become unavailable, specifications cannot be met, or payment requirements have not been satisfied.


4. Pricing and Payment

All prices are quoted in Pounds Sterling (£) unless otherwise stated.

Applicable taxes, duties, shipping costs, installation charges, and other fees may be charged in addition to the quoted price.

Invoices are payable within the period specified on the invoice.

The Company reserves the right to suspend deliveries, installation works, or support services where payments remain outstanding.

Interest may be charged on overdue accounts in accordance with applicable laws and regulations.


5. Delivery

Delivery dates are estimates only and shall not constitute a contractual obligation.

The Company shall not be liable for delays caused by manufacturers, suppliers, shipping providers, customs authorities, weather conditions, force majeure events, or circumstances beyond its reasonable control.

Risk in the products shall pass to the Customer upon delivery.

Ownership of products shall remain with Fojay Limited until full payment has been received.


6. Installation Services

Where installation services are provided, the Customer shall ensure reasonable site access, safety, and suitability of the installation location.

Additional charges may apply where unforeseen site conditions, structural modifications, electrical upgrades, or regulatory requirements affect the scope of work.

The Company shall perform installations using reasonable skill, care, and industry standards.


7. Product Warranty

Products supplied by Fojay Limited may be covered by manufacturer warranties.

Warranty periods, conditions, and limitations shall be governed by the manufacturer’s warranty documentation.

The Company does not provide additional warranties beyond those expressly stated in writing.

Warranty claims shall not apply where damage results from:

• Misuse or negligence

• Unauthorized modification

• Improper installation by third parties

• Accidents or environmental damage

• Failure to follow operating instructions


8. Returns and Refunds

Returns may only be accepted with prior written approval from the Company.

Custom-ordered, special-order, installed, or used products are generally non-refundable unless defective.

Approved returns must be returned in original condition and packaging.

Refunds shall be processed in accordance with applicable consumer protection legislation and Company policies.


9. Limitation of Liability

To the fullest extent permitted by law, Fojay Limited shall not be liable for:

• Indirect or consequential losses

• Loss of profits

• Loss of business opportunities

• Loss of revenue

• Business interruption

• Third-party claims

The Company’s total liability shall not exceed the value of the products or services supplied under the relevant contract or invoice.


10. Technical Advice

Any technical recommendations, calculations, estimates, performance projections, or product suggestions are provided in good faith based on available information.

The Customer remains responsible for determining suitability for their intended application.


11. Force Majeure

The Company shall not be responsible for any failure or delay in performance resulting from circumstances beyond its reasonable control, including but not limited to natural disasters, strikes, supply chain disruptions, government actions, war, pandemics, transportation delays, or utility failures.


12. Intellectual Property

All designs, proposals, reports, drawings, technical documentation, website content, trademarks, and other intellectual property remain the property of Fojay Limited unless otherwise agreed in writing.


13. Health and Safety

Customers shall comply with all applicable health and safety requirements when products are delivered, installed, maintained, or serviced.

The Company reserves the right to suspend works where unsafe conditions exist.


14. Privacy and Data Protection

Fojay Limited shall process personal information in accordance with applicable data protection legislation and its privacy policy.

Information collected shall be used solely for business, contractual, legal, and customer service purposes.


15. Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of England and Wales.

Any disputes arising from these Terms and Conditions shall be subject to the exclusive jurisdiction of the courts of England and Wales.


16. Acceptance

Placement of an order, acceptance of a quotation, payment of an invoice, or receipt of products and services shall constitute acceptance of these Terms and Conditions.
